JustOverlap Terms and Conditions
Effective date: 17 July 2026
These Terms and Conditions govern access to and use of the JustOverlap website, application, calendar integrations, shared booking rooms, subscriptions and related services, collectively the Service.

In these Terms, JustOverlap, BitVault SA, we, us and our refer to BitVault SA.
By selecting Continue with Google, creating or joining a room, booking a meeting, starting a trial, purchasing a subscription or otherwise using the Service, you agree to these Terms and acknowledge that you have read the JustOverlap Privacy Policy.
If you use the Service on behalf of a company or another organisation, you confirm that you have authority to bind that organisation to these Terms.
1. The Service
JustOverlap is a scheduling platform that helps multiple meeting hosts identify their overlapping availability and offer guests one shared booking link.
The Service may enable users to:
- sign in using Google;
- connect supported Google Calendars;
- select calendars that determine availability;
- create shared booking rooms;
- invite other people to participate as hosts;
- calculate overlapping availability between required hosts;
- publish public booking links;
- permit guests to select available times;
- create Google Calendar events;
- add hosts and guests as event attendees;
- generate Google Meet links;
- manage rooms, bookings, trials and subscriptions.
JustOverlap is a technical scheduling service. It is not a calendar provider, communications provider, professional adviser or party to meetings arranged through the Service.
2. Eligibility
You may use JustOverlap only if:
- you can legally enter into a binding agreement;
- your use complies with applicable law;
- you are authorised to act for any organisation you represent;
- you have not been permanently suspended from the Service for misuse.
If you are below the legal age required to enter into a contract in your country, you may use the Service only with the valid involvement of a parent or legal guardian.
3. Account registration
Certain features require a JustOverlap account.
You agree to:
- provide accurate information;
- maintain control over your connected Google account;
- keep your devices and credentials secure;
- notify us promptly of suspected unauthorised access;
- not share your individual account with another person;
- remain responsible for activities carried out through your account, except where caused by our breach of applicable obligations.
We may require reasonable verification to protect users, payment systems and the Service.
4. Acceptance of legal documents
The sign-in interface may state:
By continuing with Google, you agree to the Terms and Conditions and acknowledge that you have read the Privacy Policy.
Selecting Continue with Google constitutes acceptance of these Terms.
The Privacy Policy describes how personal data is processed. Acknowledging the Privacy Policy does not mean that every processing activity is based on consent. Where processing is necessary to create an account, provide calendar functionality, perform a booking or manage a subscription, it may instead be based on contractual necessity or another applicable legal ground.
Optional marketing, advertising or non-essential analytics may be subject to separate choices or consent where required.
5. Google authentication
Google authentication allows JustOverlap to identify you and create or access your account.
Depending on the information made available by Google, we may receive:
- your Google account identifier;
- name;
- email address;
- profile picture;
- authentication information.
Your relationship with Google remains subject to Google's own terms and privacy practices.
JustOverlap is not sponsored, operated or endorsed by Google.
6. Google Calendar connection
Connecting Google Calendar is separate from signing in.
Depending on the permissions you grant, JustOverlap may be able to:
- list calendars associated with your account;
- retrieve free and busy periods;
- create or manage events generated through JustOverlap;
- add hosts and guests as attendees;
- request creation of a Google Meet conference.
You may select which available calendars block your availability and which calendar receives booked events.
You can disconnect Google Calendar through JustOverlap or your Google account settings. Disconnecting access may prevent rooms involving you from calculating availability or accepting bookings.
7. Calendar privacy
JustOverlap is designed to calculate availability without publicly revealing the contents of private calendar events.
Other users and booking guests should not receive through JustOverlap:
- private event titles;
- event descriptions;
- internal notes;
- private attendee lists;
- private locations;
- the reason a host is unavailable.
JustOverlap may process calendar identifiers, availability intervals and other technical information necessary to provide scheduling functionality.
You must not attempt to use the Service to access another person's private calendar information.
8. Shared booking rooms
A registered user may create a booking room, subject to the applicable plan.
The user creating the room is the Room Owner.
The Room Owner may configure:
- room name and description;
- meeting duration;
- required hosts;
- working hours;
- buffers;
- minimum notice;
- booking window;
- time zone;
- Google Meet options;
- public booking settings.
The Room Owner is responsible for:
- selecting the correct hosts;
- configuring accurate scheduling rules;
- sharing invitation links carefully;
- removing hosts who should no longer participate;
- disabling obsolete or compromised links;
- ensuring lawful use of the room.
A room may remain unavailable until all required hosts have connected eligible calendars.
9. Room invitations
A Room Owner may invite existing JustOverlap users or create a link through which another person can join the room.
Invitation links may:
- be unique to a room;
- expire;
- be revoked;
- have usage restrictions.
Anyone obtaining a valid invitation link may potentially attempt to join the associated room. The Room Owner is responsible for sharing links only with intended recipients.
Joining a room:
- does not transfer ownership of the room;
- does not grant platform-administrator privileges;
- does not grant access to another host's private calendar events;
- does not require the invited host to purchase a subscription solely to participate.
10. Free participation and paid creation
JustOverlap uses a free participation, paid creation model.
Users may join rooms created by others, connect their calendar and participate as hosts without paying merely for that participation.
Payment may be required when a user creates and manages their own rooms beyond the Free-plan limits or uses paid features.
A person who participates in rooms but owns no active room is not treated as an active paid creator solely because of that participation.
11. Free plan
The Free plan is offered at €0.
It currently includes:
- joining unlimited rooms created by others;
- connecting Google Calendar;
- participating as a host;
- creating one active owned room;
- up to two required hosts in that room;
- up to ten completed bookings per calendar month;
- Google Calendar integration;
- Google Meet creation where available;
- basic availability settings;
- JustOverlap branding on public booking pages.
If the monthly booking allowance is reached:
- existing data and bookings remain available;
- new bookings for the affected Free room may be paused until the next monthly reset or an upgrade;
- participation in rooms owned by others remains available.
We may change Free-plan limits prospectively with reasonable notice. Existing historical data will not be deleted solely because a limit changes.
12. Pro plan
The Pro plan is currently available at:
- €14 per month, billed monthly; or
- €132 per year, billed annually, equivalent to €11 per month.
The Pro plan currently includes:
- unlimited owned rooms, subject to fair use;
- unlimited bookings, subject to fair use;
- up to ten required hosts per room;
- removal of JustOverlap branding;
- custom booking-page names and descriptions;
- buffers;
- minimum notice;
- configurable booking windows;
- booking analytics;
- priority support.
The Pro plan is charged per active creator.
An active creator is a person who owns at least one active room.
Invited hosts who do not own active rooms do not require their own Pro subscription merely to participate.
13. Business plan
The Business plan is currently available at:
- €35 per month, billed monthly; or
- €348 per year, billed annually, equivalent to €29 per month.
The Business plan currently includes:
- one shared company workspace;
- up to ten active creators;
- unlimited participating hosts, subject to fair use;
- central room administration;
- team templates;
- custom branding;
- supported webhooks;
- supported CRM integrations;
- audit history;
- priority support.
Additional users, capacity or custom features may require additional charges or a separate agreement.
14. Prices and taxes
Subscription prices are shown before purchase.
Unless stated otherwise:
- prices are displayed in euros;
- applicable taxes may be added;
- the total amount is shown before payment;
- your bank or card provider may impose independent fees or exchange-rate charges.
You are responsible for providing accurate billing and tax information.
We may change prices prospectively. Existing subscribers will receive reasonable notice before a price change applies to a future renewal, unless the change results solely from taxes or legally required charges.
15. Fourteen-day Pro trial
Eligible new creators may receive a 14-day Pro trial without entering a payment card.
The trial begins when the user's first owned room becomes active, rather than when the account is created.
A room generally becomes active when:
- all required hosts have connected eligible calendars;
- required setup is complete;
- the public booking link can accept bookings.
During the trial, applicable Pro features are enabled.
A person may be ineligible for another trial if they have previously used a trial, paid subscription or equivalent promotion.
Creating multiple accounts to obtain repeated trials is prohibited.
16. Trial expiration
If the user purchases Pro, paid access begins according to the terms presented at checkout.
If no paid subscription is active when the trial expires:
- the account returns to the Free plan;
- the account is not deleted;
- historical bookings are retained;
- one eligible owned room may remain active;
- additional owned rooms may be disabled;
- Pro-only features may be disabled;
- participation in rooms owned by others remains available.
If several rooms exist, JustOverlap may allow the user to select which room remains active. Until a selection is made, the oldest eligible room may remain active.
No payment is taken merely because a no-card trial expires.
17. Payments through Stripe
Payments and recurring billing are processed by Stripe.
When purchasing a plan, you may be redirected to a Stripe-hosted checkout page.
Stripe may process:
- card and payment information;
- billing details;
- authentication information;
- invoices;
- subscription status;
- payment failures;
- fraud-prevention information.
JustOverlap does not normally receive or store complete card numbers.
Stripe's own terms and privacy information also apply to Stripe's processing.
18. Automatic renewal
Paid subscriptions automatically renew unless cancelled before the renewal date.
- Monthly subscriptions renew monthly.
- Annual subscriptions renew annually.
By purchasing a subscription, you authorise BitVault SA and Stripe to charge the recurring price and applicable taxes to your selected payment method.
The price, billing cycle and renewal terms will be displayed before payment.
19. Cancellation of subscriptions
You may cancel future renewal at any time through the Stripe customer portal or another cancellation method provided by JustOverlap.
Unless stated otherwise:
- cancellation prevents the next renewal;
- paid access continues until the end of the current paid billing period;
- the account then moves to the applicable Free plan;
- historical bookings are retained;
- rooms or features exceeding Free-plan limits may be disabled.
Disconnecting Google Calendar, deleting a room or ceasing to use JustOverlap does not automatically cancel a paid subscription.

20. Consumer right of withdrawal
Consumers located in the European Union or another jurisdiction providing equivalent mandatory rights may have a statutory right to withdraw from a distance service contract within 14 days after the contract is concluded.
EU rules generally provide a 14-day withdrawal period for online service contracts, subject to applicable conditions and exceptions.
To exercise a withdrawal right, send a clear statement to:
The statement should identify:
- the account holder;
- the relevant subscription;
- the purchase date;
- the decision to withdraw.
Where you expressly request immediate access to a paid service during the withdrawal period, you may be responsible for a proportionate amount corresponding to the service supplied before withdrawal, where permitted by law.
Nothing in these Terms limits mandatory consumer rights.

21. Refunds
Except where required by law or expressly stated otherwise, subscription fees are non-refundable once the relevant billing period begins.
We generally do not provide partial refunds or credits for:
- unused subscription time;
- failure to use the Service;
- cancellation before the end of a paid period;
- voluntary calendar disconnection;
- rooms disabled by the user;
- downgrade during a paid billing period.
We may issue a refund or credit where:
- a duplicate payment occurred;
- an incorrect amount was charged;
- a material technical failure prevented meaningful use;
- applicable law requires a refund.
Mandatory consumer rights remain unaffected.
22. Failed payments
If a recurring payment fails:
- Stripe or JustOverlap may retry the payment;
- we may notify the account holder;
- the subscription may be marked past due;
- paid features may remain temporarily available;
- access may later be downgraded or suspended.
You are responsible for maintaining a valid payment method.
A failed payment does not necessarily result in immediate deletion of the account or historical data.
23. Upgrades and downgrades
Upgrades may take effect immediately and may result in an immediate charge or prorated adjustment, as displayed during checkout.
Downgrades generally take effect at the end of the current paid period unless otherwise indicated.
Following downgrade:
- historical data is retained subject to the Privacy Policy;
- excess rooms may become inactive;
- booking links for disabled rooms may stop accepting bookings;
- paid features may become unavailable;
- the user may continue participating in rooms owned by others.
24. Complimentary and promotional access
We may provide:
- complimentary Pro access;
- extended trials;
- promotional pricing;
- coupons;
- beta access;
- grandfathered plans.
Unless expressly stated otherwise, promotional access:
- is non-transferable;
- has no cash value;
- may expire;
- may be limited to eligible users;
- returns to the Free plan when it ends unless a paid plan is purchased.
25. Public booking pages
Guests may book meetings without creating a JustOverlap account.
A booking form may request:
- name;
- email address;
- company;
- meeting notes;
- additional guest email addresses.
Before submitting, guests should be shown a notice substantially similar to:
JustOverlap and the Room Owner will process your details to arrange and administer this meeting. Please review the Privacy Policy.
Guests must not:
- impersonate another person;
- make fraudulent or disruptive bookings;
- submit unlawful or abusive information;
- include unnecessary sensitive information;
- use automated tools to overload booking pages;
- use booking forms to distribute spam.
Information submitted by the guest may be provided to the Room Owner and participating hosts for meeting administration.
26. Availability calculations
JustOverlap calculates availability using:
- connected-calendar busy periods;
- host calendar selections;
- meeting duration;
- working hours;
- time zones;
- booking windows;
- minimum notice;
- buffers;
- room settings.
Availability may be affected by:
- synchronisation delays;
- expired or revoked permissions;
- calendar outages;
- incorrect user settings;
- daylight-saving changes;
- events added after a slot was displayed;
- simultaneous booking attempts.
A displayed slot is not guaranteed until the booking is confirmed and the corresponding calendar event is successfully created.
JustOverlap may recheck every required host's availability immediately before confirming a booking.
27. Calendar events and notifications
When a booking is confirmed, JustOverlap may:
- create an event on a designated host's calendar;
- add all required hosts as attendees;
- add the guest and optional guests;
- generate a Google Meet link;
- store the event identifier and booking status.
Google may send standard event invitations, updates, reminders or cancellations.
JustOverlap does not control:
- email delivery;
- attendee acceptance or rejection;
- recipient notification settings;
- deletion of events by users;
- Google Calendar or Meet availability.
28. User responsibilities
You must:
- use JustOverlap lawfully;
- ensure you are entitled to submit information about teammates and guests;
- maintain accurate room settings;
- share invitation and booking links responsibly;
- protect your account;
- comply with third-party service terms.
You must not:
- access another user's account;
- attempt to obtain private calendar details;
- circumvent plan, authentication or payment restrictions;
- test or exploit vulnerabilities without written permission;
- introduce malware;
- overload or disrupt the Service;
- create artificial or fraudulent bookings;
- scrape or systematically extract data;
- use JustOverlap for harassment, fraud or spam;
- reverse engineer protected parts of the Service except where law expressly permits;
- use guest data for unrelated marketing without an appropriate legal basis.
29. Information about other people
If you provide another person's email address or other personal information, you are responsible for:
- having an appropriate reason and legal basis to do so;
- using the data only for legitimate scheduling purposes;
- providing any notice required by law;
- avoiding unnecessary or excessive data.
Room Owners must not use invitation features for unsolicited bulk outreach.
30. User content
You retain ownership of room descriptions, booking notes, branding and other content you submit.
You grant BitVault SA a limited, non-exclusive licence to host, process, display and transmit that content as needed to operate, secure and improve the Service.
You confirm that:
- you have the right to provide the content;
- the content does not violate law or third-party rights;
- you will not submit malware or unlawful material;
- you will avoid unnecessary sensitive personal information.
We may remove content reasonably believed to be unlawful, unsafe or in breach of these Terms.
31. Privacy and data protection
BitVault SA processes personal data in accordance with the JustOverlap Privacy Policy and applicable data-protection law, including the Swiss Federal Act on Data Protection and, where applicable, the GDPR.
Swiss transparency rules require controllers to inform individuals adequately and comprehensibly about collected information, processing purposes and disclosures to third parties.
Depending on the activity:
- BitVault SA acts as controller for user accounts, authentication, subscriptions, billing, security, service administration and its independent business operations;
- a Room Owner may independently determine the purpose of collecting guest and host information through its room;
- BitVault SA may process room and booking information on behalf of a business customer where the customer determines the purpose and essential means of processing.
Users may have rights including access, correction, deletion, restriction, objection and portability, depending on applicable law and the circumstances.

We may verify the identity of a requester before fulfilling a request.
Personal data should be retained only for as long as necessary for its purpose or applicable legal obligations.
32. Data processing for business customers
Where BitVault SA processes personal data on behalf of a business customer:
- the customer is responsible for its instructions and lawful use of the Service;
- BitVault SA processes the data to provide, secure and support JustOverlap;
- personnel authorised to access the data are subject to confidentiality obligations;
- BitVault SA implements reasonable technical and organisational security measures;
- BitVault SA may engage subprocessors;
- BitVault SA will provide reasonable assistance regarding data-subject requests and security incidents;
- data will be deleted, returned or anonymised following termination, subject to legitimate retention requirements.
A separate Data Processing Agreement may be made available to eligible business customers.
If an executed Data Processing Agreement conflicts with these Terms regarding processing on behalf of a customer, the Data Processing Agreement prevails.
33. Third-party services
The Service depends on third parties that may include:
- Google;
- Stripe;
- Supabase;
- hosting and infrastructure providers;
- security and monitoring providers;
- optional analytics or communications providers.
Third-party services may change, interrupt or discontinue their functionality.
We are not responsible for independent third-party acts, outages or policy decisions except where liability cannot legally be excluded.
You must comply with the terms governing third-party services you connect to JustOverlap.
34. Intellectual property
JustOverlap's software, design, branding, interfaces, graphics, text and underlying technology are owned by BitVault SA or its licensors.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.
You may not:
- reproduce or distribute protected elements;
- remove proprietary notices;
- create derivative services from protected components;
- resell the Service without written permission;
- register confusingly similar branding or domains;
- use the JustOverlap name or logo without authorisation.
35. Feedback
You may voluntarily provide ideas or feedback.
You permit us to use such feedback to improve JustOverlap without payment or attribution.
We will not publicly identify you as the source without permission.
36. Service availability and changes
We aim to operate a reliable Service but do not guarantee uninterrupted or error-free access.
The Service may be unavailable because of:
- maintenance;
- software changes;
- security incidents;
- third-party outages;
- network failures;
- emergencies;
- circumstances outside our reasonable control.
We may add, modify or discontinue features for technical, security, legal, operational or commercial reasons.
Where practical, we will give reasonable notice of material discontinuation.
37. Beta features
Some functions may be identified as beta, preview or experimental.
Such features may:
- contain errors;
- be incomplete;
- change materially;
- have reduced availability;
- be subject to additional limits;
- be discontinued.
You should not rely on beta features for critical operations without appropriate contingency arrangements.
38. Suspension and termination
We may suspend or terminate access where:
- you materially breach these Terms;
- your activity presents a security risk;
- you engage in fraud or abuse;
- payment remains overdue;
- continued access would violate law;
- required third-party functionality becomes unavailable;
- the Service is discontinued.
Where appropriate, we will provide notice and an opportunity to remedy the issue.
Immediate action may be taken where needed to protect users, data, systems or legal rights.
You may request account deletion or stop using the Service at any time.
39. Effects of account termination
Following termination or deletion:
- account access may end;
- public booking links may stop working;
- rooms may be disabled;
- calendar tokens may be revoked or deleted;
- personal data may be deleted or anonymised according to the Privacy Policy;
- certain records may be retained for taxation, billing, fraud prevention or legal claims;
- unpaid amounts remain due.
Provisions intended to survive termination remain effective.
40. No professional advice
JustOverlap provides technical scheduling functionality only.
It does not provide legal, tax, medical, employment, financial or other professional advice.
Users remain responsible for their meetings, commercial relationships and decisions.
41. Disclaimers
To the extent permitted by law, JustOverlap is provided on an as available basis.
We do not warrant that:
- every displayed time remains available;
- calendar data synchronises immediately;
- every invitation is delivered;
- every attendee participates;
- every Google Meet link functions without interruption;
- third-party integrations remain available;
- the Service meets every specific requirement;
- every error will be corrected immediately.
Nothing in these Terms limits statutory guarantees or rights that cannot legally be excluded.
42. Limitation of liability
To the maximum extent permitted by law, BitVault SA is not liable for indirect, incidental, consequential or special loss, including loss of:
- profit;
- revenue;
- business opportunity;
- goodwill;
- anticipated savings;
- business continuity.
We are not responsible for loss arising from:
- missed or incorrectly scheduled meetings;
- inaccurate calendar settings;
- synchronisation delays;
- attendee cancellation or absence;
- unauthorised sharing of links by a user;
- user-submitted information;
- third-party outages;
- compromised user credentials;
- circumstances outside our reasonable control.
For paid services, our aggregate contractual liability relating to JustOverlap will not exceed the subscription fees paid by the affected customer during the 12 months preceding the event giving rise to the claim, to the extent permitted by law.
For claims arising exclusively from Free-plan or no-card trial use, aggregate liability will not exceed CHF 100, to the extent permitted by law.
These limitations do not apply where liability cannot legally be excluded, including wilful misconduct or gross negligence where applicable law prohibits exclusion.
43. Indemnity for business users
To the extent permitted by law, users acting for business purposes agree to indemnify BitVault SA against third-party claims and reasonable costs resulting from:
- unlawful use of the Service;
- data submitted without authority;
- infringement of third-party rights;
- misuse of room or booking links;
- material breach of these Terms.
This section does not apply to consumers where such an indemnity would be unlawful or unfair.
44. Electronic communications
Service-related communications may be delivered through:
- the JustOverlap interface;
- the account email;
- Google Calendar;
- Stripe;
- website notices.
You are responsible for keeping your account email current.
Essential service and billing communications are separate from optional promotional communications.
45. Changes to these Terms
We may update these Terms to reflect:
- product changes;
- new plans or features;
- security requirements;
- legal changes;
- third-party changes;
- operational requirements.
The current version will display an updated effective date.
We will provide reasonable notice of material changes affecting existing users. Where the law requires explicit acceptance, we will request it.
46. Assignment
You may not transfer your rights or obligations under these Terms without our written consent.
BitVault SA may transfer these Terms as part of a merger, acquisition, reorganisation, financing or transfer of the JustOverlap business, subject to applicable law.
47. Severability
If a provision is found invalid or unenforceable, the remaining provisions continue in effect.
The invalid provision will be interpreted or replaced, where permitted, by a valid provision that most closely reflects its intended purpose.
48. No waiver
Failure to enforce a provision does not waive the right to enforce it later.
A waiver applies only to the specific matter for which it is given.
49. Entire agreement
These Terms, the Privacy Policy, applicable checkout information and any separate written agreement constitute the agreement concerning your use of JustOverlap.
Where a separately signed agreement conflicts with these Terms, the signed agreement prevails to the extent of that conflict.
50. Governing law and jurisdiction
These Terms are governed by Swiss law, excluding conflict-of-law principles.
Subject to mandatory consumer-protection and jurisdiction rules, disputes will fall under the exclusive jurisdiction of the competent courts of Lugano, Canton of Ticino, Switzerland.
Nothing in this section removes a consumer's mandatory right to bring proceedings in another legally competent court, including a court in their country of residence where applicable.
